Agreement Confirmation and Effectiveness

Thank you for choosing the macPDF platform! This Terms of Service (hereinafter referred to as "this Agreement") constitutes a legal agreement between you and macPDF Inc. (hereinafter referred to as "the Company" or "macPDF") regarding the macPDF platform services. By accessing and using macPDF services, you are deemed to have read, understood, and fully accepted the content of this Agreement. If you have any objection to this Agreement, please stop using our services immediately.

Information Security and Privacy Protection

2.1 Data Ownership

You retain full ownership and control over all files and data uploaded to the rented server. The Company promises not to proactively access, view, or disclose your data content, except in the following cases: (1) at your explicit request; (2) in compliance with lawful investigations by judicial or administrative authorities; (3) to protect the legal rights of the platform or other users.

2.2 Backup Responsibility

You are responsible for regularly backing up your important data. Although the Company will take reasonable data protection measures, the Company shall not be held liable for any form of data loss or damage.

2.3 Privacy Policy

For details on the collection, storage, and use of personal information, please refer to the Privacy Policy developed by the Company, which has the same legal effect as this Agreement.

Service Disclaimer and Warranty Limitations

The platform services are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied.

Specifically, the Company cannot guarantee that:

  • Service features will fully meet your expectations or specific needs
  • Service operation will be absolutely continuous, responsive in real-time, and completely fault-free
  • Any data or results obtained through this service are absolutely accurate
  • All existing program defects in the service will be fixed

Prohibited Acts and Usage Guidelines

During the use of the platform's services, you commit to strictly complying with the following guidelines and are prohibited from engaging in the following acts:

  • Violating any applicable laws, regulations, or industry standards in any region
  • Infringing on the copyrights, trademarks, or other legal rights of others
  • Engaging in illegal activities, including but not limited to distributing viruses, fraud, or phishing
  • Initiating network attacks, port scanning, or other operations that threaten network security
  • Sending spam or implementing unauthorized commercial promotion
  • Conducting digital currency mining activities (unless written permission is obtained)
  • Abnormally occupying system resources, affecting the normal use of other tenants
  • Attempting to bypass or undermine the platform's security protection mechanisms
  • Unauthorized reselling or subleasing of the platform's services

Fees and Payment Rules

5.1 Pricing Structure

Service fee standards are subject to real-time public notice on the official website. The Company reserves the right to adjust pricing strategies based on market conditions, but price adjustments will not affect service cycles for which payment has already been completed.

5.2 Payment Channels

Currently, the platform only integrates with the Stripe international payment gateway, supporting major credit and debit cards. All transaction data is encrypted and processed by Stripe to ensure payment security.

5.3 Billing Cycles

Charges are based on your selected billing cycle (daily, weekly, monthly, quarterly). Service fees must be paid in advance before the start of the billing period.

5.4 Renewal Mechanism

Daily billing plans require manual top-up for renewal. Other billing plans (weekly/monthly/quarterly) have auto-renewal enabled by default. You can adjust renewal settings at any time in the account management interface.

5.5 Refund Policy

In principle, service fees already collected are non-refundable, unless otherwise explicitly required by local law or specifically approved by the Company. In case of service quality disputes, please contact customer service for a solution.

Service Scope and Operating Standards

6.1 Service Components

macPDF provides Mac M4 cloud server services to customers. The scope of service includes but is not limited to hardware equipment, network access, and remote management (VNC, SSH) features.

6.2 Uptime Commitment

The platform strives to achieve 99.9% service uptime. While we do our best to ensure continuous stability, we cannot guarantee that the service will never be interrupted. Scheduled system maintenance will be announced to users in advance.

6.3 Right to Adjust Services

The Company reserves the right to adjust, temporarily suspend, or terminate service content. Affected users will be notified in advance of major adjustments.

Limitation of Liability and Indemnification

To the maximum extent permitted by laws and regulations, macPDF and its affiliates, management, board of directors, employees, and partners shall not be held liable for:

  • Any indirect, incidental, special, punitive, or consequential economic losses
  • Loss of profits, revenue, data, or use resulting from the use of the service
  • Interruption or delay of normal business activities
  • Content, services, or actions provided by third parties

The total compensation amount shall be limited to the total service fees you actually paid to the Company within the 12 calendar months prior to the occurrence of the claim.

Account Registration and Management Standards

8.1 Creating an Account

To use the platform's services, you must first complete the account registration process. Please provide true, complete, and valid personal or corporate information during registration.

8.2 Security Management

You are responsible for properly safeguarding your account login credentials and are fully liable for all actions under the account. If you discover any account abnormality or unauthorized use, please notify the Company immediately.

8.3 Age Requirements

Users of this service must be at least 18 years old or have reached the legal age of full civil capacity in their country/region.

User Indemnification

You agree to provide full compensation, defense, and hold harmless protection to macPDF and its affiliates against any third-party claims, lawsuits, losses, debts, costs, and expenses arising from your violation of this agreement, content you upload, or your use of the service.

Ownership of Copyright and Intellectual Property

The macPDF platform and all related technologies, trademarks, patents, and other intellectual property are legally owned by macPDF Inc. You only receive a limited authorization to use the service and may not copy, adapt, reverse engineer, or create derivative versions of the platform.

You retain full rights to your own content. By using this service, you only grant the Company the limited usage rights necessary to perform the service obligations.

Service Suspension and Limitations

11.1 Suspension Scenarios

The Company has the right to limit or suspend your service in the following situations:

  • Your behavior violates the provisions of this agreement
  • Your account has overdue fees
  • Your usage behavior poses a security threat to the platform or other users
  • In response to a legal request from judicial or regulatory authorities

Agreement Changes and Notifications

The Company reserves the right to revise the content of this agreement. Revised versions will be posted on this page, and the "Last Updated" timestamp will be updated accordingly. For material changes, the Company will notify you in advance via email or website announcement. Your continued use of the service after the revision of the agreement constitutes your acceptance of the revised content.

Dispute Resolution and Jurisdiction

13.1 Governing Law

The formation, validity, interpretation, performance, and dispute resolution of this agreement shall be governed by the current laws of [Applicable Jurisdiction], without regard to conflict of law rules.

13.2 Resolution Pathway

Any dispute arising from this agreement shall first be sought for resolution through friendly negotiation. If negotiation fails, either party may submit the dispute to [Designated Arbitration Institution] for arbitration in accordance with its arbitration rules.

Supplementary Terms

14.1 Entire Agreement

This agreement and related attachments constitute the entire legal agreement between you and macPDF regarding service matters, superseding any prior oral or written agreements between the parties on the same subject.

14.2 Severability

If any provision of this agreement is held by a competent authority to be invalid or unenforceable, such holding shall not affect the legal validity of other provisions, and the remaining provisions shall continue to be valid.

14.3 Reservation of Rights

The Company's failure to timely exercise or delay in exercising any right or remedy under this agreement shall not be deemed a waiver of such right.

14.4 Transfer of Rights

You may not assign any rights or obligations under this agreement to a third party without the prior written consent of the Company. The Company may, at its own discretion, assign rights and obligations under this agreement.

By using macPDF services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
